GENERAL TERMS AND CONDITIONS OF THE Casino Portugal AFFILIATE PROGRAM

Between:

SFP Online, SA, headquartered at Rua Dr. Calado nº1, Figueira da Foz, tax identification number 513 843 000, registered at the Commercial Registry of Figueira da Foz, hereinafter referred to as "Casino Portugal"

and

the individual or legal entity identified and specified by completing the corresponding application form for this affiliate program, hereinafter referred to as the "Affiliate", the present agreement is entered into and governed by the following clauses:

CLAUSE ONE

(Object)

1 - Casino Portugal, with the aim of increasing its revenue by promoting a leading and trustworthy brand among its user base, engages advertising services provided by the Affiliate based on the materials it will make available, agreeing to a revenue share model whereby all registrations and deposits on its site originating through links published by the Affiliate will be associated with the Affiliate’s account, thus ensuring the Affiliate receives a percentage of the revenue generated by such customers.

2 - In turn, the Affiliate undertakes to promote Casino Portugal on their site in compliance with these terms and limitations.

CLAUSE TWO

(Definitions)

For the purpose of this agreement, the following terms shall be understood as:

a) paid prizes;

b) bonus costs;

c) fees, licences, taxes, including the Special Tax on Online Gambling and any other legal obligations incurred by Casino Portugal;

d) refunded, cancelled, or void bets;

e) costs related to fraud, money laundering, and chargebacks incurred by Casino Portugal;

f) transaction costs borne by Casino Portugal for processing player deposits and/or payments, estimated at 5% of the financial transactions.

Commissions from players are valid for 3 years from the start of the player's activity.

CLAUSE SEVEN

(Payment Method)

1 - Commission calculations based on revenue share will be processed monthly. The Affiliate must request the withdrawal of their earnings by the last day of each month.

2 - Upon receiving the withdrawal request, Casino Portugal will review and validate it within 10 (ten) days and request the issuance and delivery of the corresponding invoice.

3 - After receiving the invoice, Casino Portugal will process the payment via bank transfer to the Affiliate's bank account within 30 (thirty) days.

4 - Casino Portugal reserves the right not to process commission payments of less than €50 (fifty euros) under the following article.

CLAUSE EIGHT

(Balance Carryover)

1 - If, in any given month, the Affiliate’s balance is less than €50 (fifty euros), Casino Portugal may withhold payment until the balance exceeds that amount.

2 - If a negative monthly balance occurs (e.g., due to player winnings), such amount will be carried forward and offset in subsequent months until the minimum threshold is reached. Casino Portugal may waive this right at its sole discretion.

3 - Any positive balance not claimed within 6 (six) months will revert to Casino Portugal.

CLAUSE NINE

(Commission Withdrawal Limitation)

1 - The Affiliate must withdraw their accumulated commissions within a maximum of 3 (three) years from the reference year.

2 - Casino Portugal reserves the right to void any commission balances not withdrawn after this period. The first voiding will occur at the end of 2024, covering balances from 2017 to 2020.

3 - The next voiding will occur at the end of 2025, covering balances from 2021 to 2023.

4 - From 2026 onwards, only balances from the last two complete years will be retained.

CLAUSE TEN

(Affiliate Platform and Account)

1 - Casino Portugal will provide the Affiliate access to a secure, password-protected platform to view their account activity and balance.

2 - The Affiliate agrees not to create more than one affiliate account, nor to transfer, assign, or share their account or balance with third parties, including partners, employees, suppliers, creditors, or shareholders.

3 - The Affiliate agrees not to open accounts on behalf of any third party.

CLAUSE ELEVEN

(Non-Exclusivity)

The Affiliate shall act as a non-exclusive promoter. Nothing in this agreement shall be construed otherwise, and Casino Portugal is free to engage with other affiliates.

CLAUSE TWELVE

(Confidentiality and Privacy)

1 - Casino Portugal follows a strict personal data protection policy and will not share personal client data. It cannot be held responsible for any disclosures made by the Affiliate or the clients themselves.

2 - The Affiliate agrees not to disclose any information about Casino Portugal, including its business operations, volumes, plans, associated companies, suppliers, or partners.

3 - Casino Portugal may authorise exceptions to the above, but only with prior written consent.

CLAUSE THIRTEEN

(Affiliate Responsibility)

The Affiliate is solely responsible for ensuring:

a) they are legally authorised to operate marketing activities in Portugal;

b) no spam is conducted or encouraged;

c) no marketing is directed at minors;

d) their platform contains no defamatory, slanderous, or otherwise illegal content;

e) their platform contains no offensive content promoting violence, terrorism, racism, pedophilia, human trafficking, or discriminatory messaging;

f) their platform does not include any form of illegal content transmission;

g) their platform does not reference or promote any unlicensed online gambling entities, as per the official regulator’s website.

CLAUSE FOURTEEN

(Account Suspension and Player Self-Exclusion)

Due to court orders or decisions by the regulatory authority, or internal procedures for fraud prevention, money laundering, terrorism financing, or due to player self-exclusion, Casino Portugal may suspend or terminate player accounts without any entitlement to compensation by the Affiliate.

CLAUSE FIFTEEN

(Term of Contract)

1 - This contract is valid for an indefinite period and may be terminated by either party with 30 days' written notice.

2 - Casino Portugal may immediately and unilaterally terminate the agreement at any time, particularly if its name, logo, branding, or content is associated with illegal transmissions or unauthorised gambling operators, or content deemed pornographic, violent, or unlawful. Termination may also occur for business or communications policy reasons or to comply with legal or regulatory obligations.

3 - Casino Portugal agrees to avoid unjustified use of this right and will, whenever possible, give the maximum notice possible within the 30-day limit mentioned above.

CLAUSE SIXTEEN

(Effects of Termination)

After termination, both parties remain bound by confidentiality and intellectual property obligations.

CLAUSE SEVENTEEN

(Force Majeure)

This agreement will not take effect in relation to any human or technical performance affected by unforeseeable events beyond the parties' control, including natural disasters, civil unrest, climate crises, terrorist attacks, or war.

CLAUSE EIGHTEEN

(Severability)

If any clause is deemed invalid by a court or authority, it shall be considered void, and the remainder of the agreement shall remain in full force.

CLAUSE NINETEEN

(Inter-Party Effectiveness)

This agreement is binding only between the parties and cannot be invoked by or against third parties.

CLAUSE TWENTY

(Relationship Between the Parties)

Nothing in this agreement shall be construed as creating a joint venture, partnership, agency, representation, franchise, or employer-employee relationship between the parties.

CLAUSE TWENTY-ONE

(Revision of Terms)

1 - Casino Portugal reserves the right to revise these terms and publish updates on its website. The Affiliate is responsible for keeping up to date with any changes.

2 - Continued participation in the program constitutes tacit and binding acceptance of the revised terms.

3 - Casino Portugal will make reasonable efforts to notify Affiliates of any significant changes.

CLAUSE TWENTY-TWO

(Jurisdiction and Applicable Law)

This agreement is governed exclusively by Portuguese law, with jurisdiction agreed to be in Portugal.
